IMPORTANT – READ CAREFULLY

These Terms and Conditions (“Terms”) constitute a legally binding agreement between you and BusWhere LLC (“BusWhere,” “we,” “our,” or “us”), a Wyoming limited liability company with its principal place of business at 2 Wisconsin Circle, Suite 700, Chevy Chase, MD 20815.

By accessing or using www.buswhere.com or any of its subdomains (the “Website”), the BusWhere mobile applications, or any services provided by BusWhere (collectively, the “Services”), you agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use the Services.

  1. DEFINITIONS

In these Terms, the following definitions apply:

1.1 “Contracting Entity” means a school district, school bus company, or other organization that has entered into a Service Agreement with BusWhere.

1.2 “Administrator” means an individual authorized by a Contracting Entity to access and manage the Services on behalf of the Contracting Entity.

1.3 “End User” means parents, guardians, or other individuals who use the Services through a subscription provided by a Contracting Entity.

1.4 “Service Agreement” means the separate agreement between BusWhere and a Contracting Entity that governs the Contracting Entity’s subscription to the Services.

1.5 “Personal Data” means any information relating to an identified or identifiable natural person as defined in applicable data protection laws.

1.6 “Student Data” means Personal Data related to students that is protected under applicable education privacy laws, including the Family Educational Rights and Privacy Act (FERPA).

  1. SERVICES DESCRIPTION

2.1 Platform Overview. BusWhere provides a real-time bus tracking and transportation management platform designed to help schools, bus companies, administrators, and parents monitor school bus locations and receive notifications about arrival times and delays.

2.2 Service Limitations. BusWhere is an information and tracking platform only. BusWhere does not: (a) Operate, control, or maintain buses or other transportation vehicles; (b) Make decisions regarding transportation routes, schedules, or operations; (c) Physically transport students or other passengers; (d) Guarantee the accuracy of GPS data, arrival times, or other transit information; (e) Assume responsibility for the safety or supervision of students; or (f) Replace direct communication between schools, transportation providers, and families.

2.3 GPS Information. The Services rely on GPS technology and cellular or wireless data connections, which are subject to various limitations, including technological constraints, environmental factors, and connectivity issues. BusWhere does not guarantee continuous, uninterrupted, or error-free GPS tracking and is not liable for such failures under Section 17.6 (Force Majeure)

  1. USER TYPES AND RESPONSIBILITIES

3.1 Contracting Entities

3.1.1 Service Agreement. Contracting Entities must execute a separate Service Agreement with BusWhere that specifies additional terms, including subscription fees, features, and term length. In the event of any conflict between these Terms and the Service Agreement, the Service Agreement shall prevail.

3.1.2 Authorization. Contracting Entities represent and warrant that they have the legal authority to: (a) Enter into these Terms and any Service Agreement with BusWhere; (b) Authorize Administrators to access and use the Services; (c) Share End User data with BusWhere in accordance with applicable laws; and (d) Allow End Users to access and use the Services.

3.1.3 Compliance with Laws. Contracting Entities shall comply with all applicable laws and regulations, including education privacy laws such as FERPA, the Protection of Pupil Rights Amendment (PPRA), and applicable state student privacy laws.

3.1.4 End User Management. Contracting Entities are responsible for: (a) Providing accurate End User information to BusWhere; (b) Obtaining all necessary consents from End Users ; (c) Communicating service changes to End Users; and (d) Ensuring that End Users comply with these Terms.

3.2 Administrators

3.2.1 Account Security. Administrators must: (a) Maintain the confidentiality of their login credentials; (b) Immediately notify BusWhere of any unauthorized account access; (c) Log out of their accounts at the end of each session; and (d) Ensure that their account information remains accurate and up-to-date.

3.2.2 Account Management. Administrators are responsible for: (a) Managing End User access to the Services; (b) Configuring route information, stop locations, and schedules; (c) Ensuring the accuracy of information entered into BusWhere Services; and (d) Communicating service disruptions to End Users when necessary.

3.2.3 Authority. Administrators represent and warrant that they are at all times authorized by their Contracting Entity to access and use the Services and to manage End User accounts.

3.3 End Users

3.3.1 Limited License. End Users receive a limited, non-transferable license to use the Services solely for personal, non-commercial purposes related to school transportation.

3.3.2 Account Security. End Users must: (a) Maintain the confidentiality of their login credentials; (b) Immediately notify their Administrator of any unauthorized account access; and (c) Ensure that their account information remains accurate and up-to-date.

3.3.3 Parental Consent. End Users who are under the age of 18 must obtain parental or guardian consent before using the Services. The end users who indicate that they agree to terms when registering are indicating that such parental or guardian consent has been given.

  1. ACCOUNT REGISTRATION AND SECURITY

4.1 Account Creation. To use certain features of the Services, you must register for an account. You agree to provide accurate, current, and complete information during registration and to update such information to keep it accurate, current, and complete.

4.2 Account Responsibility. You are solely responsible for: (a) Maintaining the confidentiality of your password and account; (b) All activities that occur under your account; and (c) Notifying BusWhere immediately of any unauthorized use of your account.

4.3 Security Measures. BusWhere implements reasonable security measures to protect user accounts. However, we cannot guarantee absolute security and are not responsible for unauthorized access to accounts due to user negligence or factors beyond our reasonable control.

  1. INTELLECTUAL PROPERTY RIGHTS

5.1 BusWhere Ownership. The Services, including all content, features, and functionality, are owned by BusWhere or its licensors and are protected by copyright, trademark, patent, trade secret, and other intellectual property laws. These Terms do not grant you any rights to use BusWhere’s trademarks, logos, domain names, or other brand features.

5.2 Limited License. Subject to your compliance with these Terms, BusWhere grants you a limited, non-exclusive, non-transferable, non-sublicensable license to access and use the Services for their intended purpose.

5.3 Restrictions. You may not: (a) Copy, modify, create derivative works, reverse engineer, decompile, or disassemble the Services; (b) Remove or alter any copyright, trademark, or other proprietary notices; (c) Rent, lease, sell, transfer, assign, or sublicense the Services; (d) Use the Services for any illegal or unauthorized purpose; or (e) Interfere with or disrupt the integrity or performance of the Services.

5.4 User Content. You retain ownership of any content you submit through the Services (“User Content”). By submitting User Content, you grant BusWhere a worldwide, non-exclusive, royalty-free license to use, reproduce, modify, adapt, publish, translate, and distribute such User Content for the purpose of providing the Services.

  1. DATA PRIVACY

6.1 Privacy Policy. BusWhere’s collection, use, and disclosure of Personal Data is governed by our Privacy Policy, available at https://www.buswhere.com/privacy-policy/, which is incorporated by reference into these Terms. By using the Services, you consent to the collection, use, and disclosure of your Personal Data as described in the Privacy Policy. BusWhere may update the Privacy Policy from time to time at its discretion as noted in the Privacy Policy.

6.2 Student Data. When providing  the Services to educational institutions, BusWhere: (a) Acknowledges that it may receive Student Data from Contracting Entities; (b) Agrees to use Student Data only for the purpose of providing the Services; (c) Will not sell, rent, or use Student Data for targeted advertising; and (d) Will maintain Student Data in accordance with applicable education privacy laws.

6.3 Data Security. BusWhere implements and maintains reasonable administrative, physical, and technical safeguards designed to protect the confidentiality, security, integrity, and availability of Personal Data. Privacy Specific information about our security practices is available upon request from authorized Contracting Entity representatives. Contracting Entity representatives can contact their BusWhere representatives with for the same.

6.4 Education Privacy Compliance. BusWhere complies with applicable education privacy laws, including: (a) FERPA, under which BusWhere qualifies as a “school official” with a legitimate educational interest; (b) COPPA, recognizing that schools may provide consent on behalf of parents; and (c) State student privacy laws, as applicable.

  1. SERVICE AVAILABILITY AND SUPPORT

7.1 Service Level Commitments. BusWhere strives to maintain high availability of the Services but does not guarantee uninterrupted access. Specific uptime commitments, if any, are set forth in the Service Agreement with each Contracting Entity.

7.2 Scheduled Maintenance. BusWhere may perform scheduled maintenance during which the Services may be unavailable or limited. We will make reasonable efforts to: (a) Schedule maintenance during off-peak hours; (b) Provide advance notice of scheduled maintenance to Administrators; and (c) Minimize service disruptions during maintenance periods.

7.3 Technical Support. (a) BusWhere provides technical support to Administrators as specified in the Service Agreement. (b) End Users should direct support requests for errors or malfunctions in the software ore mobile apps to support@buswhere.com. End users should direct support requests regarding access, account creation, bus location, routing, schedules and any other information supplied by the Contracting Entity or the Administrator to that party. BusWhere shall coordinate with the Contracting Entity and/or Administrator to resolve support requests as needed  (c) Support hours and contact methods are specified in the Service Agreement or on the Website.

7.4 Service Modifications. BusWhere reserves the right to modify or discontinue, temporarily or permanently, the Services or any features or portions thereof without prior notice. We will not be liable for any modification, suspension, or discontinuance of the Services or any part thereof.

  1. USER CONDUCT

8.1 Acceptable Use. You agree not to use the Services to: (a) Violate any applicable law or regulation; (b) Infringe the rights of any third party; (c) Harass, threaten, or harm others; (d) Transmit any virus, malware, or other harmful code; (e) Interfere with the proper functioning of the Services; (f) Attempt to gain unauthorized access to the Services or related systems; or (g) Use the Services for any purpose other than their intended function.

8.2 Content Standards. Any User Content you submit must not: (a) Contain any material that is defamatory, obscene, indecent, offensive, or hateful; (b) Promote violence or discrimination; (c) Infringe any copyright, trademark, or other intellectual property right; (d) Be likely to deceive or mislead any person; (e) Be made in breach of any legal obligation owed to a third party; or (f) Be used to impersonate any person or misrepresent your identity.

8.3 Reporting Violations. If you become aware of any violation of these Terms, please report it to support@buswhere.com.

  1. PAYMENT TERMS

9.1 Fees and Payment. Contracting Entities agree to pay all fees specified in their Service Agreement. Unless otherwise specified: (a) All fees are quoted in U.S. dollars; All fees shall be paid in U.S. dollars; (c) Fees are non-refundable except as expressly provided in the Service Agreement; (d) BusWhere reserves the right to change fees upon renewal with reasonable notice, not less than 45 days; and (e) Contracting Entities are responsible for all taxes and bank transfer fees associated with the Services.

9.2 Billing. BusWhere will bill Contracting Entities in accordance with the billing terms specified in the Service Agreement. Unless otherwise specified: (a) Payments are due within 30 days of invoice date; (b) Late payments may accrue interest at the rate of 1.5% per month; and (c) BusWhere may suspend access to the Services if payment is more than 30 days past due.

9.3 Free Trials. If BusWhere offers a free trial, we will provide notice when the trial period is about to end.  At the end of the free trial that does not result in a contract for Services, we will suspend use of the Services and, upon notice, will delete all data associated with the Contracting Entity, it’s Administrators and End Users. If any hardware is offered with the Free Trial, you much return the hardware within 30 days are your expense or BusWhere will charge you the then-current rate for the purchase of that hardware.

  1. TERM AND TERMINATION

10.1 Term. These Terms remain in effect as long as you use the Services or until terminated in accordance with this section.

10.2 Termination by You. (a) End Users may terminate their use of the Services at any time by discontinuing use. (b) Administrators may terminate their accounts as authorized by their Contracting Entity. (c) Contracting Entities may terminate their subscription as specified in their Service Agreement.

10.3 Termination by BusWhere. BusWhere may terminate or suspend your access to the Services immediately, without prior notice or liability, for any reason, including: (a) Breach of these Terms; (b) At the request of a Contracting Entity regarding to Services provided to its Administrators or End Users; (c) If required to do so by law; (d) If the Services are being discontinued; or (e) For unexpected technical issues or problems.

10.4 Effect of Termination. (a) Upon termination, your right to use the Services will immediately cease. (b) Provisions that by their nature should survive termination shall survive termination, including ownership provisions, warranty disclaimers, indemnity, and limitations of liability. (c) BusWhere will handle data after termination as specified in the Privacy Policy and applicable Service Agreement. (d) If you possess leased hardware for BusWhere, you will return it at your expense within 30 days or be charged the then-current rate for the purchase of that hardware.

  1. HARDWARE

11.2. Leased Hardware

11.2.1 Ownership and Title. BusWhere retains full and exclusive ownership of all leased hardware throughout the lease period. The Customer receives a non-transferable right to use the hardware solely for the purposes specified in the Service Agreement. Customer shall not sell, assign, sublease, pledge, or otherwise encumber or dispose of any leased hardware. The Customer shall not remove, alter, or obscure any ownership labels, serial numbers, or identifying markings on the hardware.

11.2.2 Lease Duration and Termination. The lease term will be set out in the Service Agreement. The lease terminates and renews under the same terms as the Services. Upon termination of the Services for any reason, Customer shall promptly return all leased hardware to BusWhere in accordance with BusWhere’s then-current return procedures.

11.2.3 Maintenance and Repairs. The Customer is responsible for regular care and routine maintenance of the hardware, including checking, cleaning, and ensuring the unit remains undamaged. BusWhere is responsible for repairing or replacing hardware suffering from normal wear and tear as well as any fault in the hardware; the Customer is responsible for replacement for any other cause. BusWhere will replace any hardware damaged in an accident, to be determined at BusWhere’s discretion based on the documentation presented by Customer. In the event of a replacement for which the Customer is responsible, BusWhere shall offer the hardware at the rate-card rate and using the procedure in place at the time of replacement.

11.2.4 Usage Restrictions. Customer shall only use the hardware for its intended purpose in conjunction with BusWhere’s services. Customer is expressly prohibited from: a) Making any unauthorized modifications to the hardware; b) Subletting or transferring the hardware to any third party; c) Using the hardware outside its intended purpose; d) Attempting to reverse engineer, disassemble, or decompile the hardware or its software components. Hardware must be used only at the locations specified in the Service Agreement or as otherwise approved in writing by BusWhere.

11.2.5 Financial Terms. Lease payments shall be made in accordance with the payment schedule set forth in the Service Agreement. Late payment penalties will apply as specified in the Service Agreement. BusWhere may require a security deposit for leased hardware, to be returned upon satisfactory return of the hardware.

11.2.6 Liability and Risk. Customer assumes full liability for loss of or damage to leased hardware while in Customer’s possession. Customer shall indemnify and hold BusWhere harmless from any claims, damages, or liabilities arising from Customer’s use of the leased hardware.

11.3. Purchased Hardware

11.3.1 Ownership Transfer.  Full ownership and manufacturer warranties of purchased hardware transfers to Customer upon complete payment. BusWhere or its licensors retain all intellectual property rights related to any software or firmware embedded in or provided with the hardware.

11.3.2 Purchase Conditions. Payment for purchased hardware shall be made according to the terms specified in the Service Agreement. Prices for hardware are as set forth in BusWhere’s current rate card or as otherwise agreed in writing. Delivery and installation terms will be specified in the Service Agreement.

11.3.3 Warranty and Support. Purchased hardware includes the original manufacturer’s warranty, the terms of which will be provided to Customer upon purchase. BusWhere’s post-purchase support obligations are limited to assisting Customer with manufacturer warranty claims during the warranty period. To make a warranty claim, Customer must follow the procedure specified in the manufacturer’s warranty documentation and notify BusWhere Support of such claim.

11.3.4 Maintenance Responsibilities. Customer is solely responsible for all maintenance and upkeep of purchased hardware. Repair and replacement of purchased hardware outside of warranty is the Customer’s responsibility.

11.3.5 Return and Replacement Policy. Purchased hardware may only be returned within sixty (60) days of purchase and only if the hardware is defective or does not conform to specifications. Defective hardware that is under warranty will be replaced according to the manufacturer’s warranty terms.

11.3.6 Liability and Risk. Risk of loss transfers to Customer upon delivery of purchased hardware. BusWhere’s liability with respect to purchased hardware is limited to the purchase price paid by Customer. Customer assumes all responsibilities related to the use, maintenance, and disposal of purchased hardware in compliance with applicable laws and regulations.

11.4. GENERAL HARDWARE PROVISIONS

11.4.1 This Hardware Terms and Conditions section shall be read in conjunction with the overall Terms and Conditions and Service Agreement between BusWhere and Customer.

11.4.2 In the event of any conflict between this Hardware Terms and Conditions section and any other part of the Terms and Conditions or Service Agreement, the terms most specifically applicable to hardware shall govern.

11.4.3 BusWhere reserves the right to modify these Hardware Terms and Conditions in accordance with the amendment procedures set forth in the main Terms and Conditions.

  1. WARRANTY DISCLAIMERS

12.1 “AS IS” Basis. THE SERVICES ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

12.2 No Accuracy Warranty. BUSWHERE DOES NOT WARRANT THAT: (a) THE SERVICES WILL MEET YOUR REQUIREMENTS; (b) THE SERVICES WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE; (c) THE RESULTS OBTAINED FROM THE USE OF THE SERVICES WILL BE ACCURATE OR RELIABLE; (d) THE QUALITY OF THE SERVICES WILL MEET YOUR EXPECTATIONS; OR (e) ANY ERRORS IN THE SERVICES WILL BE CORRECTED.

12.3 Transportation Disclaimer. BUSWHERE DOES NOT PROVIDE TRANSPORTATION SERVICES AND IS NOT RESPONSIBLE FOR THE ACTS OR OMISSIONS OF TRANSPORTATION PROVIDERS. GPS TRACKING AND ARRIVAL TIME ESTIMATES ARE PROVIDED FOR INFORMATIONAL PURPOSES ONLY AND SHOULD NOT BE RELIED UPON FOR CRITICAL TIMING DECISIONS.

  1. LIMITATION OF LIABILITY

13.1 Exclusion of Damages. IN NO EVENT SHALL BUSWHERE BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM: (a) YOUR ACCESS TO OR USE OF OR INABILITY TO ACCESS OR USE THE SERVICES; (b) ANY CONDUCT OR CONTENT OF ANY THIRD PARTY ON THE SERVICES; (c) ANY CONTENT OBTAINED FROM THE SERVICES; OR (d) UNAUTHORIZED ACCESS, USE, OR ALTERATION OF YOUR TRANSMISSIONS OR CONTENT.

13.2 Cap on Liability. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, BUSWHERE’S TOTAL LIABILITY TO YOU FOR ANY DAMAGES SHALL NOT EXCEED: (a) FOR CONTRACTING ENTITIES: THE AMOUNT PAID BY THE CONTRACTING ENTITY TO BUSWHERE DURING THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM. (b) FOR ADMINISTRATORS AND END USERS: ONE HUNDRED DOLLARS ($100.00).

13.3 Essential Purpose. THE LIMITATIONS OF DAMAGES SET FORTH ABOVE ARE FUNDAMENTAL ELEMENTS OF THE BASIS OF THE BARGAIN BETWEEN BUSWHERE AND YOU. SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF LIABILITY FOR CERTAIN DAMAGES, SO THE ABOVE LIMITATIONS MAY NOT APPLY TO YOU.

  1. INDEMNIFICATION

14.1 Contracting Entity Indemnification. Contracting Entities agree to defend, indemnify, and hold harmless BusWhere and its officers, directors, employees, and agents from and against any and all claims, damages, obligations, losses, liabilities, costs, and expenses (including attorney’s fees) arising from or related to: (a) The Contracting Entity’s use of the Services or hardware under this Agreement; (b) The Contracting Entity’s violation of these Terms; (c) The Contracting Entity’s violation of any third-party right; or (d) Any claim that the Contracting Entity’s use of the Services caused damage to a third party.

14.2 Administrator and End User Indemnification. Administrators and End Users agree to defend, indemnify, and hold harmless BusWhere from claims arising from their use of the Services in violation of these Terms or applicable law.

14.3 Procedure. BusWhere will: (a) Promptly notify you in writing of any such claim; (b) Give you sole control of the defense and settlement of such claim; and (c) Provide reasonable cooperation in the defense of such claim, at your expense.

  1. DISPUTE RESOLUTION

15.1 Informal Resolution. Before filing a claim against BusWhere, you agree to try to resolve the dispute informally by contacting support@buswhere.com. We’ll try to resolve the dispute by contacting you via email. If the dispute is not resolved within 60 days, you may proceed with filing a claim.

15.2 Arbitration Agreement. You and BusWhere agree to resolve any disputes through binding arbitration conducted by the American Arbitration Association (AAA) under its Commercial Arbitration Rules, as modified by these Terms.

15.3 Arbitration Procedures. (a) The arbitration will be conducted by a single arbitrator selected in accordance with the AAA Rules. (b) The arbitration may be conducted in person, through document submission, telephone, or online. (c) The arbitrator’s award shall be final and binding and may be entered as a judgment in any court of competent jurisdiction.

15.4 Class Action Waiver. YOU AND BUSWHERE AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING.

15.5 Small Claims Court. Notwithstanding the foregoing, you may bring an individual action in small claims court.

15.6 Exceptions. Nothing in this section precludes either party from seeking injunctive or other equitable relief in any court of competent jurisdiction to prevent the actual or threatened infringement of intellectual property rights.

  1. SPECIAL PROVISIONS FOR EDUCATIONAL INSTITUTIONS

16.1 FERPA Compliance. (a) BusWhere acknowledges that it may receive Student Data covered by FERPA from educational institutions. (b) BusWhere agrees to be designated as a “school official” with “legitimate educational interests” in Student Data, as those terms are defined under FERPA. (c) BusWhere agrees to use Student Data only for the purposes outlined in these Terms and the Service Agreement.

16.2 Emergency Protocols. (a) BusWhere’s Services may be used during emergency situations, but they are not designed as primary emergency communication tools. (b) Contracting Entities shall maintain separate emergency communication protocols independent of the Services. (c) In the event of an emergency involving student transportation, direct communication between schools, transportation providers, and parents/guardians should not be replaced by reliance on the Services.

16.3 Special Education Accommodations. (a) BusWhere strives to make its Services accessible to all users, including those with disabilities. (b) The Services can provide information relevant to the transportation of students with special needs, but Contracting Entities remain responsible for ensuring appropriate accommodations are provided during actual transportation. (c) Contracting Entities should communicate specific accessibility requirements to BusWhere to facilitate appropriate accommodation.

  1. GENERAL PROVISIONS

17.1 Governing Law. These Terms and any dispute arising out of or related to these Terms or the Services shall be governed by and construed in accordance with the laws of the State of Maryland, without giving effect to any choice or conflict of law provision or rule.

17.2 Entire Agreement. These Terms, together with the Privacy Policy and any Service Agreement, constitute the entire agreement between you and BusWhere regarding the Services and supersede all prior agreements and understandings, whether written or oral.

17.3 Severability. If any provision of these Terms is held to be invalid or unenforceable, such provision shall be struck and the remaining provisions shall be enforced to the fullest extent under law.

17.4 No Waiver. BusWhere’s failure to enforce any right or provision of these Terms will not be considered a waiver of such right or provision.

17.5 Assignment. You may not assign or transfer these Terms without BusWhere’s prior written consent. BusWhere may assign its rights and obligations under these Terms without restriction.

17.6 Force Majeure. BusWhere shall not be liable for any failure to perform its obligations under these Terms if such failure results from circumstances beyond its reasonable control, including, without limitation, acts of God, natural disasters, pandemic, terrorism, riots, acts of war, failures in telecommunications or internet services, power outages, or government restrictions.

17.7 Export Control. You agree to comply with all applicable export and re-export control laws and regulations, including the Export Administration Regulations maintained by the U.S. Department of Commerce.

17.8 Government End Users. The Services are commercial computer software. If you are an agency, department, or other entity of the United States Government, the use, duplication, reproduction, release, modification, disclosure, or transfer of the Services is restricted in accordance with Federal Acquisition Regulation 12.212 for civilian agencies and Defense Federal Acquisition Regulation Supplement 227.7202 for military agencies.

17.9 Amendments. BusWhere reserves the right to modify these Terms at any time. We will provide notice of material changes by posting the amended Terms on the Website and, where appropriate, notifying Contracting Entities directly. Your continued use of the Services after such changes constitutes your agreement to the amended Terms.
